Nippon Steel is acquiring U.S. Steel, giving the U.S. Government a "Golden Share" that allows the White House, including future Presidents, to hold a Permanent Stake and Veto Power over Corporate Decisions. This requires Presidential Approval for certain Corporate Activities, Influencing Foreign Investment in Trump (R) has Signed an Order in Support of the Agreement.
U.S. Steel and Nippon Steel jointly stated, “This partnership will bring a massive investment that will support our communities and families for generations to come. We look forward to putting our commitments into action to make American steelmaking and manufacturing great again.” The Companies added, “All necessary regulatory approvals for the partnership have now been received, and the partnership is expected to be finalized promptly.”
Late-Night Negotiations led Nippon Steel to accept Trump's demand for U.S. Oversight after Biden (D) Blocks. The Deal grants the U.S. a Class G Preferred share, providing Veto Power. White House Spokesperson Kush Desai (R) said, “Steel is the backbone of a modern economy and military. The Trump administration is committed to ensuring that foreign business decisions do not undermine our national and economic security.”
The Agreement requires Presidential Approval for Actions like Relocating Jobs, Closing Plants, or Changing Raw Material sourcing. U.S. Steel has Not Updated Security filings regarding its $14.9 billion Sale to Nippon. United Steelworkers President David McCall Criticized the Agreement, claiming it Jeopardizes American Steelmaking. In Contrast, Commerce Secretary Lutnick (R) claimed it would Revitalize U.S. Steel and boost Production.
Under the New Arrangement, Trump can Appoint One of U.S. Steel’s Three Independent Board Directors and has Veto Authority over the Others. The Golden Share is Non-Transferable and Offers No Profit to the Government.
Trump stated, “We have a golden share, which I control, or the president controls. Now I’m a little concerned about whoever the president might be, but that gives you total control.”
